Regulatory Oversight and Compliance

U.s. Tax and legal compliance
Our team carefully monitors U.S. federal, state, and local regulatory changes that could impact your real estate and other private equity investments, like changes in the U.S. Tax Code, local regulations that affect your real estate assets, federal and state regulations governing investment by non-U.S. investors, like treasury department regulations.  You need to know when these changes happen and to get advice about next steps.

We have an extensive network of trusted third party teams across the United States that provide in-depth real estate market analysis to inform buying, selling, leasing and other operational decisions, taking into account tax implications and long-term trends, leasing markets, and U.S. economic trends and trends in capital markets. We often travel to the location of your assets so we can handle in-person meetings with your asset and property managers.  We also provide regular compliance reviews of all U.S. investments with detailed reporting, and will act as your proxy at annual budget meetings to review and discuss asset performance with your local teams.

We will work with your local and U.S. Tax advisors to ensure compliance with all U.S. tax obligations.  We can also suggest tax strategies that maximize savings and protect wealth, corporate structuring, and leveraging tax credits through our affiliates.  We also can serve as your corporate secretary to manage corporate governance, sign documents on your behalf at your direction, and assist in managing cash flow needs related to U.S. investments, including timely remittance of tax payments, thus optimizing your liquidity.

Through our network of private equity sponsors, we can source new, off market real estate opportunities or private equity deals, acting as your eyes and ears in the U.S. investment landscape.  We will explore and advise on potential business opportunities in the U.S., including expanding operations, opening new business lines, or acquiring existing businesses.

Due Diligence

We offer due diligence services for a wider range of asset classes such as real estate, healthcare private equity, venture capital, infrastructure investments, and alternative investments.  We often provide in-person inspection of property and investment related facilities, providing detailed reports on their condition or to address any concerns by the investor.  This travel to personally review your U.S. assets ensures performance.

As transactional legal counsel, we help you buy and sell U.S. properties, including negotiation, title checks, and closing management.  We also can interview local real estate brokers and prepare all of the legal documentation and identify local counsel when you need an expert in the jurisdiction where your property is located.

Fractional General Counsel

Operating and monitoring real estate assets on the U.S. mainland, or from a foreign country can be daunting. Many investors fail to diversify their real estate assets because they no reliable legal representation outside of their home.
HOW WE HELP
Our firm acts as fractional general counsel, and can be brought in for real-estate specific projects or to manage your real estate holdings. We develop or review your legal systems and processes, conduct audits of your current real estate related agreements, and ensure you receive thorough, and accurate asset reporting whether your properties are located in Hawaii or the U.S. Mainland.  For non-U.S. clients, we can help you maintain your U.S. real estate investments by acting as a local representative, and will identify and ultimately coordinate with U.S. based tax counsel.

ABOUT David

I am an attorney and real estate investor. My law practice provides specialized real estate advisory and legal services to clients in Hawaii, the mainland United States, and Asia.  I have a background in real estate law, management, brokerage, development, and title and escrow. My practice integrates traditional legal services, real estate advisory and consulting. This allows me to give my clients practical, business-driven legal advice.

Prior to opening my private law practice in 2015, I worked for several major Honolulu law firms as a real estate litigator, in real estate development and finance, and for a national title and escrow company. 

I also have a background on the "other side" as an investor and partner in a real estate and private equity capital advisory firm which has averaged approximately $75 million in commercial real estate transactions in Dallas, Denver and Phoenix including over 1M square feet of office and mixed-used assets, and provide part-time general counsel services to family offices in the United States and Hong Kong.

I graduated from the University of Pennsylvania with a degree in Asian and Middle Eastern Studies with a concentration in Chinese language. I attended law school at the University of Maryland School of Law, where I was Editor-in-Chief, University of Maryland Law Journal of Race, Religion, Gender and Class, and I also received an M.S. in Real Estate Development from the Johns Hopkins University Carey School of Business. 

I am licensed to practice in Hawai‘i, Texas, the District of Columbia and Maryland (inactive).
